These Terms of Service outline the terms and conditions for services provided by Ashaan Jiwani through Ashaan.ca. By requesting, booking or engaging services, clients agree to these terms.
1. Services Provided
Ashaan Jiwani provides professional media and creative services, including, but not limited to, video production, photography, content creation, social media support, editing, marketing materials, and other digital media services.
The specific scope of work, services provided, deliverables, timelines, pricing and any additional project requirements will be confirmed through written communication, proposals, estimates, invoices or service agreements between Ashaan Jiwani and the client.
2. Payment Terms
All invoices issued by Ashaan Jiwani are payable according to the payment terms stated on the invoice.
Unless otherwise agreed upon in writing, all remaining balances are due on the first day of the following month after services are completed or delivered, subject to any previous payment arrangements.
Late or overdue payments may result in delays to project delivery or suspension of services.
3. Deposits and Project Approval
A deposit or upfront payment may be required before work begins.
Client approval of the project scope, creative direction, pricing or deliverables confirms acceptance of the agreed services. Any additional requests or changes outside the original scope of work may result in additional fees.
4. Revisions and Changes
Clients may request reasonable revisions within the agreed scope of work.
Changes that require additional time, resources or a significant change in project direction may be subject to additional charges.
5. Delivery of Final Materials
Final deliverables will be provided through a digital delivery method selected by Ashaan Jiwani.
Raw footage, original files, project files or unedited materials are not included unless specifically agreed upon in writing.
Ashaan Jiwani is not responsible for maintaining or storing project files indefinitely after final delivery.
6. Copyright and Usage Rights
All original creative materials remain the property of Ashaan Jiwani until full payment has been received.
Upon full payment, clients receive usage rights for the final approved deliverables for their intended purpose unless otherwise agreed in writing.
Ashaan Jiwani retains the right to use completed work for portfolio purposes, promotional materials, websites and social media unless a confidentiality agreement or other written restriction is in place.
7. Cancellation and Rescheduling
Clients must provide reasonable notice for cancellations or rescheduling requests.
Any completed work, approved expenses or non-refundable commitments made before cancellation remain payable.
Ashaan Jiwani reserves the right to reschedule services due to circumstances outside of reasonable control.
8. Client Responsibilities
Clients are responsible for providing accurate information, required materials, approvals, access and feedback necessary to complete the project.
Delays caused by missing information, unavailable resources or delayed approvals may affect project timelines.
Clients are responsible for ensuring they have the necessary rights and permissions for any materials, trademarks, images or content provided to Ashaan Jiwani.
9. Technical Issues, Data Loss and Unforeseen Circumstances
Ashaan Jiwani will take reasonable precautions to protect client materials and complete services professionally.
However, Ashaan Jiwani is not responsible for delays, file corruption, data loss, equipment failure, software issues, third-party platform changes, internet disruptions or other technical issues caused by circumstances outside of reasonable control.
While reasonable efforts will be made to recover or resolve issues when possible, Ashaan Jiwani cannot guarantee prevention of all technical failures or unforeseen circumstances.
10. Confidentiality
Any confidential information shared during a project will be treated respectfully and will not be disclosed without permission, unless required by law.
11. Limitation of Liability
Ashaan Jiwani is not liable for indirect, incidental or consequential damages resulting from the use of services, delays or circumstances outside of reasonable control.
The client’s sole remedy for any dispute related to services will be limited to the value of payments made for the specific service in question.
12. Governing Law
These Terms of Service are governed by the laws of Alberta, Canada.
13. Changes to These Terms
Ashaan Jiwani reserves the right to update these Terms of Service at any time. Updated terms will be posted on Ashaan.ca with the revised effective date.
